1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”) and Omniado EOR (Pty) Ltd (Registration No. 2022/414022/07, Republic of South Africa) (“we”, “us”, “our”) regarding your access to and use of the website omniadoeor.com (the “Site”) and any related services, content, features, or functionalities offered on or through it (collectively, the “Services”). By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Site or Services.

2. Changes to Terms

We reserve the right to amend these Terms at any time. Changes will take effect upon posting the revised Terms on the Site with an updated “Last updated” date. Continued use of the Site after such posting constitutes your acceptance of the amended Terms.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into binding agreements. You agree to use the Services only for lawful purposes and in accordance with these Terms.

4. Use of the Services

4.1 Permitted Use

You may use the Site and Services solely for your personal or legitimate business purposes, in compliance with all applicable laws.

4.2 Prohibited Use

You agree not to:

  • Use the Services for unlawful, deceptive, or fraudulent purposes;

Our total aggregate liability shall not exceed the greater of:
  • (a) the total fees paid by you in the 12 months preceding the claim, or
  • (b) ZAR 5 000.

9. Indemnification

You agree to indemnify and hold harmless Omniado EOR (Pty) Ltd, its officers, employees, and agents from any claims, losses, liabilities, or expenses arising from your violation of these Terms or your misuse of the Site.

10. Termination

We may suspend or terminate your access to the Site or Services at any time, without notice, for any reason. Sections 5, 7, 8, 9, 11, and 13 will survive termination.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. You agree to submit to the non-exclusive jurisdiction of the courts of Johannesburg, Gauteng for any disputes arising out of or related to these Terms.

12. Entire Agreement

These Terms constitute the entire agreement between you and Omniado EOR (Pty) Ltd regarding your use of the Site and supersede all prior agreements or understandings.

13. Severability

If any provision of these Terms is found invalid, the remainder shall continue in full force and effect.
